• Is connected to unauthorized resale; or
• Threatens the security or operation of the Services.

9. PRODUCT INFORMATION

We attempt to provide accurate product descriptions, prices, photographs, ingredient information, and availability information.

• Website images may differ from actual appearance;
• Packaging may change;
• Ingredients may be updated;
• Colors may appear differently on different screens; and
• Product information may be corrected or updated.

An automated order-confirmation message acknowledges receipt of your order but does not guarantee acceptance.

If we cancel an order after payment has been captured, we will issue a refund for the canceled amount to the original payment method.

11. PRICES AND PAYMENT

Applicable taxes will be calculated during checkout where required.

Standard shipping is free for eligible orders under our Shipping Policy.

You authorize Skyn and its payment providers to charge the selected payment method for:

You represent that you are authorized to use the submitted payment method.

Payment providers may perform fraud, identity, account, or authorization checks.

12. PROMOTIONS AND DISCOUNTS

Promotions and discount codes are subject to their stated terms.

Unless expressly stated otherwise:

• Promotions cannot be combined;
• Discount codes have no cash value;
• New-customer promotions may be used only once;
• Promotions apply only during the stated period;
• Promotions may be limited by customer or household;
• Promotions do not apply retroactively; and
• Promotions may be changed or discontinued.

We may cancel an order or restrict an account involving suspected promotional abuse, automated purchasing, duplicate accounts, or fraudulent activity.

13. SUBSCRIPTIONS

Skyn does not currently offer automatically renewing product subscriptions.

No purchase made under these Terms will automatically renew unless subscription terms are separately and clearly presented to you before enrollment and you affirmatively agree to them.

If Skyn offers subscriptions in the future, the applicable renewal price, frequency, cancellation method, and other legally required disclosures will be presented before enrollment.

14. ORDER CANCELLATIONS

Orders may enter processing shortly after submission.

Email support@tryskyn.com immediately if you need to request a cancellation or address correction.

We cannot guarantee that an order can be changed or canceled after it has been placed.

An order cannot generally be canceled after it has been packed, processed, or transferred to USPS.

15. SHIPPING

Shipping locations, processing periods, delivery estimates, address requirements, damaged shipments, delayed shipments, and missing-package procedures are governed by our Shipping Policy.

Delivery dates are estimates and are not guaranteed.

16. RETURNS AND REFUNDS

Returns, first-order guarantees, unopened-product returns, damaged products, refunds, and replacements are governed by our Refund Policy.

Do not send a product to our business address without first contacting support@tryskyn.com and receiving return authorization.

17. NO UNAUTHORIZED RESALE

Products purchased through the Services are intended for personal use.

You may not purchase products for:

• Unauthorized resale;
• Commercial redistribution;
• Relabeling;
• Repackaging;
• Alteration;
• Adulteration;
• Export;
• Marketplace resale; or
• Use in another product.

You may not present yourself as an authorized Skyn seller, distributor, representative, affiliate, or partner without written authorization.

We may cancel orders that appear intended for unauthorized resale.

18. INTELLECTUAL PROPERTY

The Services and their contents are owned by or licensed to Skyn and are protected by applicable intellectual-property laws.

Protected materials may include:

• The Skyn name;
• Logos;
• Product names;
• Product packaging;
• Photographs;
• Videos;
• Text;
• Graphics;
• Designs;
• Website layouts;
• Advertisements;
• Software; and
• Other content.

We grant you a limited, revocable, nonexclusive, nontransferable license to access the Services for personal, noncommercial use.

You may not, without written permission:

• Copy;
• Reproduce;
• Modify;
• Distribute;
• Publish;
• Sell;
• License;
• Scrape;
• Frame;
• Reverse engineer;
• Create derivative works from; or
• Commercially exploit the Services or their content.

No license to use Skyn trademarks, trade dress, branding, or product imagery is granted by these Terms.

19. USER CONTENT

The Services may allow you to submit reviews, photographs, videos, comments, testimonials, suggestions, or other content.

You retain ownership of content you submit.

By submitting content, you grant Skyn a worldwide, nonexclusive, transferable, sublicensable, royalty-free license to:

• Host;
• Store;
• Reproduce;
• Edit;
• Adapt;
• Publish;
• Translate;
• Display;
• Distribute; and
• Use the content in connection with operating, improving, and promoting Skyn.

You represent that:

• You own or control the necessary rights;
• Your content is truthful;
• Your review reflects your genuine experience;
• Your content does not violate another person’s rights;
• Your content is not defamatory or unlawful;
• Your content does not contain malware;
• Your content does not disclose confidential information; and
• You have disclosed any material relationship with Skyn when required.

We may remove or refuse content, but we are not required to monitor all user submissions.

20. PROHIBITED CONDUCT

You may not:

• Use the Services unlawfully;
• Submit false information;
• Impersonate another person;
• Commit fraud;
• Attempt unauthorized access;
• Interfere with website operation;
• Upload viruses or malicious code;
• Scrape or harvest data without authorization;
• Use bots to make purchases;
• Circumvent product or promotional limits;
• Infringe intellectual-property rights;
• Violate privacy rights;
• Harass or threaten others;
• Submit misleading reviews;
• Conduct unauthorized resale;
• Make unauthorized medical or disease claims about Skyn products;
• Misrepresent your relationship with Skyn; or
• Use Skyn content for deceptive advertising.

We may suspend or terminate access and take other appropriate action in response to prohibited conduct.

We do not control third-party services and are not responsible for their:

• Content;
• Products;
• Security;
• Privacy practices;
• Accuracy; or
• Terms.

Your use of a third-party service is subject to that provider’s terms and policies.

Our collection, use, disclosure, and protection of personal information are described in our Privacy Policy.

23. ELECTRONIC COMMUNICATIONS

By placing an order or creating an account, you consent to receive electronic transactional communications concerning:

• Orders;
• Payments;
• Shipping;
• Delivery;
• Returns;
• Refunds;
• Account security;
• Customer support;
• Product safety; and
• Policy updates.

If you voluntarily join our email list, you may receive promotional emails. You may unsubscribe using the link in the email.

Skyn does not currently operate a recurring promotional text-message program.

24. SERVICE AVAILABILITY

We do not guarantee that the Services will always be:

• Available;
• Uninterrupted;
• Secure;
• Complete;
• Accurate; or
• Error-free.

We may modify, suspend, or discontinue a portion of the Services.

We may conduct maintenance or make security changes without advance notice.

25. DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES AND PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

SKYN DISCLAIMS ALL EXPRESS AND IMPLIED WARRANTIES, INCLUDING IMPLIED WARRANTIES OF:

• MERCHANTABILITY;
• FITNESS FOR A PARTICULAR PURPOSE;
• TITLE;
• DURABILITY;
• NON-INFRINGEMENT; AND
• SATISFACTORY QUALITY.

WE DO NOT WARRANT THAT:

• THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE;
• ALL WEBSITE INFORMATION WILL ALWAYS BE COMPLETE OR CURRENT;
• PRODUCTS WILL PRODUCE A PARTICULAR RESULT;
• A PRODUCT WILL BE APPROPRIATE FOR EVERY INDIVIDUAL;
• THE SERVICES WILL BE FREE OF HARMFUL COMPONENTS; OR
• EVERY ERROR WILL BE CORRECTED.

Nothing in these Terms excludes a warranty or consumer right that cannot lawfully be excluded.

Some jurisdictions do not allow certain warranty disclaimers. In those jurisdictions, these disclaimers apply only to the maximum extent permitted by law.

26. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TREECOTREECO HOLDINGS LLC, SKYN, AND THEIR MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, SUPPLIERS, SERVICE PROVIDERS, AND LICENSORS WILL NOT BE LIABLE FOR:

• INDIRECT DAMAGES;
• INCIDENTAL DAMAGES;
• SPECIAL DAMAGES;
• CONSEQUENTIAL DAMAGES;
• EXEMPLARY DAMAGES;
• PUNITIVE DAMAGES;
• LOST PROFITS;
• LOST REVENUE;
• LOST DATA;
• LOSS OF GOODWILL; OR
• REPLACEMENT COSTS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SKYN’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO A PRODUCT, ORDER, THE SERVICES, OR THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID TO SKYN FOR THE PRODUCT OR ORDER GIVING RISE TO THE CLAIM.

These limitations do not apply to liability that cannot lawfully be excluded or limited.

27. INDEMNIFICATION

To the maximum extent permitted by law, you agree to indemnify, defend, and hold harmless TREECOTREECO HOLDINGS LLC, Skyn, and their members, managers, officers, employees, agents, contractors, suppliers, service providers, and licensors from third-party claims, liabilities, losses, damages, judgments, costs, and reasonable legal fees arising from:

• Your breach of these Terms;
• Your unlawful use of the Services;
• Your user content;
• Your infringement of another person’s rights;
• Your fraud or misconduct;
• Your unauthorized resale of a product;
• Your alteration or relabeling of a product; or
• Your unauthorized statements about Skyn or its products.

28. GOVERNING LAW

These Terms and any dispute arising out of or relating to the Services, products, or an order will be governed by the laws of the State of Wisconsin, without regard to conflict-of-law rules.

29. COURT VENUE

Unless applicable consumer law requires otherwise, any court proceeding arising out of or relating to these Terms, the Services, a product, or an order must be brought in a state or federal court located in Milwaukee County, Wisconsin.

You and Skyn consent to the personal jurisdiction of those courts.

These Terms do not contain a mandatory arbitration requirement or a class-action waiver.

30. SEVERABILITY

If a provision of these Terms is found invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted or severed.

The remaining provisions will continue in effect.

31. NO WAIVER

Our failure to enforce a provision of these Terms does not waive our right to enforce that provision or another provision later.

A waiver is effective only if it is in writing and signed by an authorized representative of Skyn.

32. ASSIGNMENT

You may not assign or transfer your rights or obligations under these Terms without our written permission.

We may assign these Terms in connection with:

• A merger;
• An acquisition;
• A financing;
• A reorganization;
• A sale of assets;
• A change in ownership; or
• Operation of law.

33. TERMINATION

You may stop using the Services at any time.

We may suspend or terminate your access if we reasonably believe that you:

• Violated these Terms;
• Engaged in fraud or abuse;
• Created a legal or security risk;
• Interfered with the Services; or
• Violated another person’s rights.

Provisions that should reasonably survive termination will remain effective, including provisions concerning:

• Payment obligations;
• Intellectual property;
• User-content licenses;
• Warranty disclaimers;
• Liability limitations;
• Indemnification;
• Governing law; and
• Disputes.

34. ENTIRE AGREEMENT

These Terms, together with the Privacy Policy, Refund Policy, Shipping Policy, and other policies expressly incorporated by reference, constitute the complete agreement between you and Skyn concerning the Services.

They replace prior communications or understandings concerning the same subject matter.

35. CHANGES TO THESE TERMS

We may update these Terms to reflect changes to our:

• Services;
• Products;
• Operations;
• Technology;
• Policies; or
• Legal obligations.

Updated Terms become effective when posted on www.tryskyn.com.

The “Last Updated” date identifies the current version.

Your continued use of the Services after updated Terms take effect constitutes acceptance to the extent permitted by law.
